5.02 Departure of Directors or Principal Officers
On
January 1, 2008, Mr. William H. Easter III formally retired from the Board
of
Directors of DCP Midstream GP, LLC, the general partner to the general partner
of DCP Midstream Partners, LP (the “Registrant”), as previously announced and
reported in the Registrant’s Form 8-K dated October 30, 2007. There was no
disagreement between Mr. Easter and DCP Midstream GP, LLC regarding any matter
relating to the Registrant’s operations, policies or practices.
