DCP Midstream Partners Announces Commencement of Public Offering of Common Units

DENVER, March 11 /PRNewswire-FirstCall/ -- DCP Midstream Partners, LP (NYSE: DPM) (the "Partnership") today announced that it has commenced, subject to market conditions, an underwritten public offering of approximately 4.25 million of its common units representing limited partner interests. The Partnership also intends to grant the underwriters a 30-day option to purchase up to approximately 637,500 additional common units to satisfy any over-allotments.

The Partnership intends to use the net proceeds from this offering, together with cash on hand, to purchase up to $150 million of United States Treasury or other qualifying securities. In connection with the offering, the Partnership intends to borrow up to an additional $150 million under its existing term loan facility. The United States Treasury or other qualifying securities purchased will be assigned as collateral to secure the Partnership's additional borrowings under the term loan facility. The proceeds of the additional term loan borrowings will be used to repay amounts outstanding under the Partnership's revolving credit facility. The Partnership intends to use any proceeds from any exercise of the over-allotment option to further pay down amounts outstanding under the revolving credit facility and for general working capital purposes.

Citigroup Global Markets Inc. and Wachovia Capital Markets, LLC will act as joint book running managers for the offering. In addition, Lehman Brothers Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated, Morgan Stanley & Co. Incorporated, UBS Securities LLC and Credit Suisse Securities (USA) LLC will act as co-managers for the offering.
